Please read these Terms carefully before submitting any photograph, video, audio, caption, testimonial, review, or other material to Simple Body. These Terms create a binding agreement, include a license and release allowing commercial use of accepted content, and contain an individual arbitration agreement and class action waiver in Section 22.
These User Generated Content Submission Terms and Conditions (the "Terms") govern participation in the Simple Body user generated content program (the "Program") operated by Simple Body, LLC ("Simple Body," "we," "us," or "our"). They explain who may submit content, how submissions are reviewed, when store credit is earned, and what rights each party has.
1. Agreement to These Terms
By uploading, transmitting, or otherwise submitting content through a Simple Body submission form, upload page, email link, social media request, or other Program channel (each, a "Submission"), and by checking the required consent box, you confirm that you have read and agree to these Terms. Your electronic acceptance has the same effect as a handwritten signature.
If you do not agree to every provision of these Terms, do not submit content. Participation is voluntary and is not a condition of purchasing any Simple Body product or receiving customer service.
These Terms supplement the Simple Body website Terms of Service and Privacy Policy. If these Terms conflict with the website Terms of Service regarding a Submission or the Program, these Terms control. The Privacy Policy governs our handling of personal information. The version of these Terms presented when you submit applies to that Submission.
2. Program Scope
The Program is a discretionary content submission and licensing program. It is not a sweepstakes, lottery, game of chance, employment arrangement, talent agency relationship, partnership, joint venture, or promise of future work.
Simple Body may invite customers and other eligible participants to submit original content relating to Simple Body, its products, routines, store, team, events, or community. A Submission may contain one photograph or one video, together with any accompanying written statement, caption, audio, or identifying information provided by the participant.
3. Eligibility
To participate, you must be an individual who is at least 18 years old, has legal capacity to enter a binding contract, and is a legal resident of one of the 50 United States or the District of Columbia. The Program is void where prohibited or restricted by law.
Employees, officers, contractors, agencies, and immediate family or household members of Simple Body may submit content only with prior written approval and must clearly disclose their relationship whenever the content is used as an endorsement. Simple Body may request reasonable proof of age, identity, residence, product use, ownership, or permissions before approving a Submission or issuing credit. Failure to provide reasonably requested verification may result in rejection.
4. Submission Requirements
Each entry must contain either one photograph or one video unless the submission page expressly permits otherwise. Multiple entries may be submitted, but each is evaluated separately, and no participant is guaranteed approval of more than one Submission.
A Submission must comply with the instructions displayed on the Program page at the time of submission. Unless the Program page states otherwise, content should be created vertically, be in focus, use clear and sufficient lighting, accurately show the product or experience, and be supplied at the highest reasonably available resolution.
- Original and authentic. The content must be created by you or submitted with documented authority from the creator. It must depict a genuine event, product use, opinion, or experience and may not impersonate another person.
- Safe and lawful. Do not trespass, drive while filming, use products contrary to directions, stage dangerous conduct, or place yourself or another person at risk to create a Submission.
- Commercially clearable. Do not include music, television, movies, artwork, photographs, fonts, voice recordings, trademarks, prominent third-party products, or other protected material unless you own all commercial rights or have a written license covering worldwide advertising, paid social media, editing, and sublicensing.
- Appropriate. Do not submit content that is unlawful, threatening, harassing, hateful, discriminatory, defamatory, obscene, sexually explicit, exploitative, fraudulent, invasive of privacy, or otherwise reasonably objectionable.
- Free of sensitive records. Do not include government identification numbers, financial account information, medical records, prescriptions, private communications, precise location data, or another person's confidential information.
- Technically clean. Do not use copyrighted social platform audio, watermarks from another platform, undisclosed beauty filters, skin-smoothing tools, or material generative AI alterations. AI-assisted technical changes must be disclosed when submitting.
5. People Appearing in a Submission
You must have informed permission from every identifiable person whose face, body, name, voice, private information, performance, property, or other identifying characteristic appears or is heard in a Submission. Each person must understand that the content may be edited and used in commercial Simple Body advertising without additional compensation.
If another adult appears or is heard, you represent that you have obtained a written model, voice, and publicity release broad enough to authorize the rights granted in these Terms. Simple Body may require a copy before approval.
Content Involving Minors
A person under 18 may not submit content. Content depicting a minor may be submitted only by the minor's parent or legal guardian, or by an adult who has the parent or legal guardian's specific written authorization for commercial use. The submitting adult represents that the Submission and its use are in the minor's best interests and may be asked to sign a separate minor release.
Simple Body will not accept content showing a minor nude or partially nude, bathing, changing clothes, receiving treatment on an intimate area, in a private or vulnerable setting, or in any situation that Simple Body determines could compromise the minor's dignity, privacy, or safety, even if a parent or guardian consents. Simple Body may reject or remove content involving a minor at any time.
6. Your Ownership and Promises
For each Submission, you represent, warrant, and agree that:
- All registration, contact, account, and submission information you provide is true, current, and complete.
- You created and own the Submission, or you have obtained every copyright, trademark, music, performance, privacy, publicity, property, and other right required to submit it and grant the rights in these Terms.
- The Submission is not subject to an exclusive license, union or guild restriction, confidentiality obligation, court order, employment claim, or other restriction that would conflict with these Terms.
- Every identifiable person depicted or heard has given informed permission, and you can provide documentation if reasonably requested.
- Any statement, testimonial, review, result, or opinion reflects your honest, current, and actual experience with the product or service identified and has not been fabricated, purchased, copied, or materially altered.
- You will promptly notify Simple Body if an opinion presented as current materially changes while Simple Body is actively using the Submission in a way that could make the advertising misleading.
- The Submission does not infringe, misappropriate, or violate any person's copyright, trademark, privacy, publicity, contractual, property, moral, or other rights and does not violate applicable law or platform rules.
- The Submission contains no computer virus, malicious code, deceptive file, or hidden material intended to disrupt or compromise a system.
7. Skincare Statements and Before and After Content
Do not claim or imply that a cosmetic product diagnoses, treats, cures, or prevents a disease, or make any other medical, safety, or performance claim that is false, misleading, or outside your actual experience. Personal experience does not establish that everyone will obtain the same result.
Before and after images or videos must depict the same person, accurately state the relevant time period and product routine, and use reasonably comparable angle, distance, expression, lighting, camera settings, and makeup. They may not be retouched, filtered, skin-smoothed, color-manipulated, or otherwise altered to exaggerate a result. You must disclose other products, prescriptions, procedures, filters, makeup, or material circumstances that may have contributed to the depicted result.
Simple Body may reject, remove, shorten, qualify, or decline to use any claim that it believes cannot be legally substantiated. Simple Body's acceptance of a Submission is not medical validation of any statement.
8. Review and Approval
Submission does not guarantee approval, publication, use, or store credit. Simple Body may evaluate a Submission for eligibility, ownership, authenticity, permissions, technical quality, safety, legal compliance, product relevance, originality, campaign fit, available program capacity, and compliance with these Terms and the posted Program guidelines.
Approval is not conditioned on a positive review, favorable opinion, or particular sentiment. Participants should provide truthful content and honest opinions. Simple Body may reject content for objective Program reasons, but it will not require a positive statement as a condition of earning an offered incentive.
Simple Body may request clarification, a release, an unedited original file, a replacement file, or reasonable evidence before deciding. Simple Body may reject duplicates, substantially similar submissions, spam, automated entries, stolen content, previously compensated content, or content submitted through multiple identities. Except where applicable law requires otherwise, Program decisions are final.
9. Store Credit
Unless a different amount is clearly stated on the submission page before you submit, Simple Body will provide a $20 Simple Body store credit for each approved photograph or a $30 Simple Body store credit for each approved video. A single Submission is eligible for only one of these amounts. The applicable credit is compensation for the accepted Submission, license, permissions, and releases granted under these Terms, whether or not Simple Body later publishes or continues to use the content.
Simple Body will send approval or rejection to the email address provided. Approved credit will ordinarily be issued to the participant's Simple Body customer account within 14 business days after approval and completion of any requested verification or release. An incorrect email address, inability to verify the participant, failure to maintain an eligible account, or suspected fraud may delay or prevent issuance.
Store credit may be used only for eligible purchases directly from Simple Body through channels that support store credit. It is non-transferable, may not be sold, has no cash value, and is not redeemable for cash except where required by law. It may not be used to purchase gift cards or additional store credit. Shipping charges, taxes, exclusions, returns, and any remaining balance are governed by the terms shown at checkout and applicable Simple Body policies.
Participants are responsible for taxes, reporting, or other obligations arising from Program compensation. Simple Body may request tax information and make reports or withhold amounts when required by law. If credit was obtained through fraud, material misrepresentation, infringement, duplicate identity, or breach of these Terms, Simple Body may revoke unused credit and pursue recovery or other lawful remedies.
10. Limited Review License for All Submissions
When you submit content, you grant Simple Body and its service providers a limited, non-exclusive, royalty-free license to receive, upload, copy, store, convert, scan, review, and internally share the Submission as reasonably necessary to administer the Program, verify compliance, protect security, communicate with you, issue credit, maintain consent records, and comply with law.
This review license does not authorize public marketing use of a rejected Submission. For content that is not approved, the review license ends when Simple Body no longer reasonably needs the content for Program administration, security, dispute prevention, or legal compliance, subject to the retention provisions in Section 16.
11. Commercial License for Approved Content
When Simple Body issues the applicable store credit for an approved Submission, you grant Simple Body, its affiliates, successors, assigns, licensees, advertising and public relations agencies, contractors, service providers, retail and wholesale partners, distributors, and media platforms acting for or with Simple Body a non-exclusive, perpetual, irrevocable to the fullest extent permitted by law, worldwide, fully paid, royalty-free, transferable, and sublicensable license to use the approved Submission and every protectable element it contains.
The license includes the right to host, store, reproduce, copy, publish, republish, distribute, transmit, broadcast, stream, publicly display, publicly perform, exhibit, digitize, archive, advertise, promote, translate, caption, transcribe, excerpt, crop, resize, reformat, retouch for technical quality, color-correct without changing depicted results, combine with other materials, synchronize with properly licensed audio, adapt, and create derivative works from the Submission.
Simple Body may exercise these rights for advertising, marketing, promotion, publicity, public relations, education, retail and wholesale sales, trade presentations, and brand communications in any media or format now known or later developed. Permitted channels include Simple Body websites, product pages, email, SMS where recipients have separately consented, organic and paid social media, digital advertisements, search advertising, online marketplaces operated or authorized by Simple Body, retailer and distributor materials, in-store displays, signage, brochures, catalogs, direct mail, packaging, event materials, press materials, and internal sales or team training.
The license does not authorize Simple Body to sell the Submission as a standalone stock asset or license it to an unrelated third-party brand for that brand's independent advertising without separate written permission. You retain ownership of your original content and may continue to use and license it, subject to rights you have granted to others.
12. Name Voice Likeness and Publicity Release
For approved content, you authorize Simple Body and the parties described in Section 11 to use, reproduce, edit, publish, and display your first name, social media handle, image, likeness, voice, appearance, performance, city and state if provided, and biographical information you voluntarily submit, together with the Submission, for the permitted purposes.
You waive any right to inspect or approve the finished use, advertising copy, layout, context, or distribution, provided the use remains within these Terms and does not materially misrepresent your words, identity, appearance, or experience. Simple Body may use the Submission with or without attribution and is not required to tag, mention, or link to you. Simple Body will not publish your mailing address, email address, phone number, full legal name, or other nonpublic contact information as part of the marketing unless you separately authorize it.
To the fullest extent permitted by law, you waive and agree not to assert moral rights or similar rights of attribution or integrity in approved content. Where such rights cannot be waived, you consent to the modifications and uses expressly authorized by these Terms.
13. Editing Standards and Advertising Integrity
Simple Body may edit approved content for timing, length, spelling, grammar, clarity, accessibility, format, aspect ratio, placement, branding, captioning, sound levels, and technical quality. Simple Body may add logos, product information, calls to action, licensed music, graphic elements, subtitles, disclosures, or other advertising elements.
Simple Body will not knowingly edit a testimonial in a way that changes the participant's honest opinion or materially distorts the experience described. Simple Body will not materially alter skin texture, blemishes, wrinkles, pigmentation, body shape, or before and after results to exaggerate product performance. Simple Body will not use generative AI or synthetic media to make a participant appear to say or do something the participant did not submit, or to create a materially different result, without separate specific written consent.
Simple Body may omit a portion of a Submission, but any excerpt must remain truthful in context. No consent, release, disclaimer, or attribution transfers to Simple Body the participant's responsibility for false warranties, and none removes Simple Body's independent obligation to ensure that its advertising is truthful, non-misleading, and appropriately substantiated.
14. Testimonials Incentives and Required Disclosures
A Submission that communicates an opinion, recommendation, product experience, or result may be treated as a consumer testimonial or endorsement. You agree that all such statements will reflect your honest opinions, findings, beliefs, and actual experience at the time made.
Simple Body may add a clear disclosure such as "Customer received Simple Body store credit," "Incentivized customer content," or another legally appropriate disclosure near the content. You authorize reasonable editing and placement needed to make that disclosure clear and conspicuous.
Uploading content to Simple Body does not, by itself, require you to publish it on your own account. If Simple Body separately asks you to post, repost, or distribute content publicly, the request must be covered by a separate written instruction or agreement. You must clearly disclose the store credit and any other material relationship in the post itself using plain language that viewers will notice, such as "I received Simple Body store credit for this content." A profile disclosure, hidden hashtag, or disclosure visible only after clicking "more" may be insufficient.
Simple Body does not require a positive opinion as a condition of participation or credit. Nothing in these Terms authorizes fake reviews, undisclosed endorsements, suppression of truthful negative reviews, or claims that Simple Body could not lawfully make directly.
15. No Additional Payment Approval or Accounting
The store credit described in Section 9 is the full and complete compensation for an approved Submission and the rights granted under these Terms. To the fullest extent permitted by law, you are not entitled to royalties, residuals, reuse fees, licensing fees, profit participation, or other payment based on the number, duration, geography, media, impressions, sales, or other results of use.
Simple Body has no obligation to submit finished materials for your review, provide usage reports, identify where content appears, return original files, preserve a public post, or continue using approved content.
16. Privacy Data Use and Retention
Simple Body may collect the information provided with a Submission, including name, email address, customer account information, social media handle, content, captions, permissions, consent records, device and browser information, IP address, timestamps, file metadata, and communications about the Program. We use this information to receive and review content, verify eligibility and rights, prevent fraud, contact participants, issue store credit, make and distribute approved marketing, maintain records, respond to rights requests, and comply with law.
A photo, video, voice recording, testimonial, or caption may reveal personal characteristics or sensitive information. By separately checking the required content consent box and voluntarily submitting such material, you affirmatively consent to the processing described in these Terms for Program administration and the authorized marketing uses. Do not submit medical records, diagnoses, or other sensitive information that is unnecessary to the content. Simple Body does not use submitted facial images or voice recordings to create biometric identifiers, facial recognition templates, or voiceprints for identifying individuals.
Simple Body may share Program information with vendors and partners that host files, provide forms, administer customer accounts or store credit, support marketing, distribute advertising, provide security, or perform services on our behalf; with professional advisers; in connection with a business transaction; or when required by law. These parties receive information only for authorized purposes or as otherwise disclosed in the Privacy Policy.
Simple Body retains approved content, the applicable license, and evidence of consent for as long as reasonably necessary to exercise or document the rights granted, resolve disputes, prevent fraud, and satisfy legal obligations. Rejected content is deleted or deidentified when it is no longer reasonably needed for review, security, dispute prevention, or legal compliance. Backup copies may persist for a limited period. Applicable privacy rights and instructions for submitting a request are described in the Simple Body Privacy Policy.

17. Withdrawal Removal and Rights Complaints
Before approval and issuance of store credit, you may withdraw a Submission by contacting info@simplebodyproducts.com and identifying the file and submission email. Simple Body will use reasonable efforts to stop review and delete the content, subject to security, backup, fraud prevention, dispute, and legal retention needs.
After store credit is issued, the commercial license is intended to be perpetual and irrevocable to the fullest extent permitted by law. You may still ask Simple Body to discontinue future use. Simple Body will consider the request in good faith and will comply when required by law, but it may be unable or not legally required to recall printed materials, retailer materials already distributed, emails already sent, advertisements already served, platform shares outside its control, archived materials, or completed derivative works.
If you believe content was submitted without authority, infringes your rights, presents a safety concern, or is being used outside these Terms, contact info@simplebodyproducts.com promptly with your name, contact information, identification of the content, the basis of your claim, and supporting information. Simple Body may suspend use while reviewing a credible complaint. Knowingly submitting a false infringement or ownership claim may create legal liability.
18. Program Administration Suspension and Termination
Simple Body may pause, modify, suspend, or end the Program or change reward amounts for future Submissions at any time. Changes will not reduce credit already earned for an approved Submission or retroactively expand the rights granted for a prior Submission without any consent required by law.
Simple Body may disqualify a participant, reject content, suspend an account, withhold pending approval, or revoke unused improperly obtained credit for fraud, manipulation, harassment, attempted circumvention of Program limits, violation of law, or breach of these Terms. Simple Body may preserve relevant evidence and cooperate with platforms, rights holders, or authorities.
Simple Body is not responsible for uploads lost, delayed, corrupted, misdirected, incomplete, inaccessible, or incompatible because of network, platform, device, or file problems, but will not use a technical disclaimer to avoid issuing credit for a Submission it actually approved and accepted.
19. Release
To the fullest extent permitted by law, for approved content you release and discharge Simple Body and its affiliates, successors, assigns, licensees, advertising agencies, contractors, service providers, retail and wholesale partners, distributors, officers, directors, employees, and agents (collectively, the "Released Parties") from claims, demands, liabilities, and causes of action arising from uses expressly authorized by these Terms. This includes claims based on copyright, moral rights, trademark, right of publicity, appropriation, privacy, intrusion, false endorsement, defamation arising solely from an authorized edit or context, inspection or approval rights, compensation, or use of name, voice, image, likeness, or performance.
This release does not authorize or release a use outside the license, a material misrepresentation prohibited by Section 13, fraud, willful misconduct, gross negligence where it cannot lawfully be released, or any liability that applicable law does not permit a participant to waive. No provision limits your right to report concerns to a government agency or participate in a government investigation.
20. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Released Parties from third-party claims, demands, judgments, losses, liabilities, penalties, damages, and reasonable legal fees arising from: your breach of these Terms; a materially false representation or warranty; content you did not have authority to submit; failure to obtain a required release; infringement or violation of a third party's rights; or your unlawful, fraudulent, reckless, or intentionally harmful conduct in creating or submitting content.
Simple Body will provide reasonable notice of a covered claim. Simple Body may control the defense with counsel of its choice, and you will reasonably cooperate. You may not settle a claim in a way that admits wrongdoing by, imposes obligations on, or restricts a Released Party without Simple Body's written consent. This section does not require you to indemnify a Released Party for that party's unauthorized use, material alteration prohibited by Section 13, gross negligence, or willful misconduct.
21. Disclaimers and Limitation of Liability
Except for obligations expressly stated in these Terms and to the fullest extent permitted by law, the Program, submission process, and related systems are provided "as is" and "as available." Simple Body disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement relating to Program access. Simple Body does not promise uninterrupted availability, approval, publication, audience reach, sales, publicity, or any particular benefit beyond store credit for an approved Submission.
To the fullest extent permitted by law, the Released Parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, lost profits, lost opportunity, reputational loss, loss of data, or replacement costs arising from the Program, even if advised that such damages are possible.
To the fullest extent permitted by law, the aggregate liability of the Released Parties for all claims arising from a Submission or the Program will not exceed the greater of $100 or the total store credit issued to you under the Program during the 12 months before the event giving rise to the claim.
These exclusions and limits do not apply to liability that cannot lawfully be excluded or limited, which may include certain consumer rights, statutory privacy rights, fraud, willful misconduct, gross negligence, or personal injury caused by a party to the extent applicable law so provides. Some jurisdictions do not allow certain disclaimers or limitations, so portions of this section may not apply to you.
22. Dispute Resolution Arbitration and Class Action Waiver
PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights. Except for the limited matters described below, you and Simple Body agree that disputes will be resolved through binding individual arbitration rather than a lawsuit in court. Arbitration does not use a judge or jury, and court review of an arbitration award is limited.
Informal resolution first. Before filing arbitration or a court claim, the complaining party must send a written notice describing the participant's name, submission email, relevant Submission, facts, legal basis, and requested relief. Notices to Simple Body must be emailed to info@simplebodyproducts.com with the subject "UGC Dispute Notice" and mailed to the address in Section 27. The parties will attempt in good faith to resolve the dispute for at least 30 days after receipt. Any limitations period is tolled during this 30-day period to the extent permitted by law.
Binding individual arbitration. If the dispute is not resolved informally, either party may require final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules then in effect. The Federal Arbitration Act governs this arbitration agreement. Unless the parties agree otherwise, the arbitration may occur by documents, telephone, videoconference, or in person in El Paso County, Colorado, or in the participant's county of residence when required by the applicable rules or law.
Fees and remedies. Filing, administrative, and arbitrator fees will be allocated under the applicable consumer rules. Simple Body will not seek to require a participant to pay more than the amount the participant would pay to file the claim in court unless the arbitrator determines that the claim was frivolous or brought for an improper purpose. The arbitrator may award any individual remedy available in court and will issue a reasoned written decision.
Individual proceedings only. YOU AND SIMPLE BODY WAIVE THE RIGHT TO A JURY TRIAL AND AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not combine different people's claims or preside over a class or representative proceeding without the written consent of all parties.
Exceptions. Either party may bring an eligible individual claim in small claims court. Either party may seek temporary or preliminary court relief necessary to protect intellectual property, confidential information, safety, or the status quo pending arbitration. A party may also seek relief from an appropriate government agency. If applicable law prohibits arbitration of a particular claim or remedy, that claim or remedy may proceed in court, and the remaining arbitrable matters will be resolved first to the extent permitted by law.
Thirty-day right to opt out. You may opt out of this arbitration agreement without affecting Program eligibility by sending an email to info@simplebodyproducts.com within 30 days after you first accept these Terms. Use the subject "UGC Arbitration Opt-Out" and include your full name, submission email, date of submission, and a clear statement that you opt out of Section 22. An opt-out applies only to the person who timely submitted it.
Severability. If the prohibition on class or representative arbitration is found unenforceable for a particular claim, the arbitration agreement will not apply to that claim, but will remain effective for other claims to the fullest extent permitted by law. Otherwise, an unenforceable portion of this section will be severed and the remainder enforced.

23. Governing Law and Courts
Except to the extent governed by the Federal Arbitration Act or a nonwaivable law of your state, these Terms and any dispute are governed by the laws of the State of Colorado, without regard to conflict-of-law rules.
If a dispute is not subject to arbitration, the parties consent to exclusive jurisdiction and venue in the state courts located in El Paso County, Colorado, or the United States District Court for the District of Colorado, except where applicable consumer law requires another forum.
24. No Employment Agency or Confidential Relationship
Participation does not create employment, contractor, fiduciary, agency, partnership, joint venture, franchise, confidential, or other special relationship. You have no authority to bind Simple Body or speak on its behalf.
Unless Simple Body has signed a separate confidentiality agreement, Simple Body does not accept Submissions in confidence and is not responsible for alleged use of an idea, concept, routine, theme, style, or technique that is not protected by law or that Simple Body developed independently. Do not submit trade secrets or confidential business information.
25. Electronic Communications and Records
You consent to receive transactional Program communications electronically at the email address provided, including confirmation, requests for verification, approval or rejection, store credit notices, rights inquiries, and updates directly affecting a Submission. These communications are not consent to receive promotional email or SMS marketing. Marketing consent must be obtained separately.
You agree that electronic records of the submission, checkbox acceptance, date and time, account or email, IP address, Terms version, uploaded file, and related communications may be used to establish acceptance, identity, consent, and the parties' rights. You are responsible for keeping a copy of these Terms and maintaining an accurate email address.
26. General Provisions
Entire agreement. These Terms, the submission page and guidelines, the Privacy Policy, and any separate signed release constitute the entire agreement concerning the Program and supersede prior oral or written statements about the same subject. A separate signed agreement controls only to the extent it expressly says so.
Assignment. You may not assign or transfer your Program rights or obligations without Simple Body's written consent. Simple Body may assign these Terms and licensed rights in connection with a merger, reorganization, financing, sale of assets, or transfer of the business or Program, provided the assignee remains bound by the applicable restrictions.
Severability. Except as specifically provided in Section 22, if a provision is held invalid or unenforceable, it will be enforced to the maximum lawful extent or severed, and the remaining provisions will continue in effect.
No waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance stated.
Headings and interpretation. Headings are for convenience and do not limit meaning. "Including" means "including without limitation." These Terms will not be interpreted against either party solely because one party drafted them.
Survival. Provisions that by their nature should continue after rejection, withdrawal, suspension, or termination will survive, including ownership promises, accepted licenses, releases, payment terms, privacy and recordkeeping provisions, indemnification, liability limits, dispute resolution, and general provisions.
Updates. Simple Body may update these Terms for future Submissions by posting a revised version and effective date. Material changes will not retroactively reduce earned compensation or materially expand the rights granted for an earlier Submission without any additional consent required by law.
